Terms and Conditions

1. Who We Are

TallyStacks is a bookkeeping service operated as a DBA of White Oak Business Services, LLC (“Company,” “we,” or “us”).


2. Services

TallyStacks provides flat-rate bookkeeping services, including transaction categorization, account reconciliation, and financial reporting, based on the selected monthly package.


3. Scope of Services

Services are limited to the deliverables outlined in the selected package. The following services are not included unless otherwise agreed in writing:

  • Tax preparation or tax filing
  • Payroll processing
  • CFO or advisory services
  • Legal or financial advice

Each service package applies to a single legal entity only. Services may not be shared across multiple businesses. Separate service arrangements are required for each additional entity.


4. Client Responsibilities

Clients agree to:

  • Provide access to their accounting software (e.g., QuickBooks Online, FreshBooks, or Xero)
  • Ensure included financial accounts are connected and active where applicable
  • Provide accurate and complete financial information
  • Provide timely access to applicable financial account statements and supporting documentation for accounts maintained under their subscription
  • Respond to requests for clarification in a timely manner


5. Bookkeeping Classifications

Transaction categorization and bookkeeping classifications are based on the information available within the client’s bookkeeping system and supporting documentation provided by the client. If transactions are not clearly identified or documented, TallyStacks will use reasonable professional judgment when categorizing activity. Clients remain responsible for reviewing their financial records and notifying TallyStacks of any corrections or additional information needed. 


6. Pricing & Payments

  • Subscription Billing: All TallyStacks services are billed on a monthly subscription basis and are payable in advance. By purchasing a package, you authorize TallyStacks to charge the payment method provided for the recurring monthly amount. Subscriptions begin immediately upon signup and apply to the current month unless otherwise agreed to in writing by TallyStacks.
  • Payment Processing: All payments are securely processed by Stripe, a third-party payment processor. Accepted payment methods may include credit/debit cards, ACH bank transfers, and other Stripe-supported options. Your payment confirmation and receipt will be sent to the email address provided at checkout.
  • Recurring Charges: Subscriptions automatically renew each month until canceled. You may cancel at any time; see Section 10 for details on cancellation and termination.
  • Failed Payments: If a payment fails, TallyStacks may suspend or terminate services until payment is successfully received.
  • No Refunds for Partial Periods: Payments are non-refundable for partial billing periods.


7. Package Limits & Scope Changes

Each package includes specific limits (such as number of accounts and transaction volume). If activity exceeds these limits, if required statements or supporting documentation are not provided, or if bookkeeping records are incomplete or unavailable within the client’s accounting software, TallyStacks may:

  • Require an upgrade to a higher-tier package, or
  • Adjust pricing accordingly
  • Pause services until the necessary information is provided

If prior bookkeeping periods are unreconciled or materially incomplete, additional cleanup work, revised pricing, or delayed onboarding may be required before services can begin.


For package limit purposes:

  • A transaction includes any individual financial transaction requiring categorization, review, reconciliation, or bookkeeping entry.
  • An account includes any bank account, credit card account, loan account, payment processor account, or other financial account maintained within the client's bookkeeping system.
  • TallyStacks reserves the right to reasonably determine transaction and account counts for package administration purposes.

Certain package features, including any annual review calls included with a service package, become available after twelve (12) consecutive months of active service. Such benefits have no cash value and expire upon cancellation of service.


8. Package Changes (Upgrades & Downgrades)

Clients may request to upgrade or downgrade their package at any time.

  • Upgrades may take effect immediately or at the next billing cycle
  • Downgrades take effect at the next billing cycle


9. Monthly Reports and Client Responsibilities

  • Delivery Schedule: TallyStacks provides bookkeeping reports on a monthly basis, generally within 1–2 weeks after month-end.
  • Client Materials: Timely delivery depends on the client providing all necessary documents, accounts, and transaction details promptly at the start of the new month.
  • Service Month Determination: For bookkeeping purposes, monthly services are based on financial account statements that close during the applicable service month. Activity reflected on statements that close in a later month will be included in that later month’s bookkeeping cycle, regardless of when individual transactions occurred.
  • Delays: If required items are not submitted on time, TallyStacks may adjust the delivery timeline.
  • Notification: TallyStacks will notify the client if delays are anticipated due to missing or incomplete materials.
  • Effort to Maintain Timelines: TallyStacks will work efficiently to ensure reports are accurate, actionable, and delivered as close as possible to the standard schedule.
  • Accounting Basis: Unless otherwise agreed in writing, monthly reports, financial statements, bookkeeping notes, financial highlights, and quarterly summaries are provided using the cash basis method of accounting. TallyStacks may record balance sheet items such as loans, fixed assets, prepaids, owner contributions, and other account classifications as appropriate based on available information. TallyStacks does not provide accrual-basis financial statements, GAAP-compliant financial statements, or financial statement conversions unless specifically agreed in writing.


10. Catch-Up & Cleanup Work

Services assume that books are current and reasonably organized. Catch-up or cleanup work for prior periods will be quoted and billed separately.


11. Communication

Primary communication is conducted via email. We aim to respond within 1–2 business days.


12. Termination

Either party may cancel services at any time. Where possible, reasonable notice will be provided.

  • Client cancellations take effect at the end of the current billing period
  • TallyStacks reserves the right to suspend or terminate services at any time


13. No Guarantees

TallyStacks relies on information provided by the client. We do not guarantee the accuracy or completeness of financial data provided by the client or third parties.


14. Limitation of Liability

To the maximum extent permitted by law, TallyStacks’ liability is limited to the amount paid for services in the preceding one (1) month.


15. Independent Contractor

TallyStacks operates as an independent service provider and is not an employee of the client.


16. Governing Law

These Terms are governed by the laws of the State of Texas.


17. Agreement to Terms

By purchasing services, you agree to these Terms & Conditions.
